These Terms of Service ("Terms") govern your use of nexuspeak.online and any digital products or services purchased from NexusPeak, which is owned and operated by HA ECOM LLC ("we", "us", "our"). By accessing our website, placing an order or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
2. Digital products & licensing
- Digital products are licensed, not sold. Upon purchase you receive a non-exclusive, non-transferable license to use the product in your own and your clients' end projects.
- You may not resell, redistribute, share, sublicense or offer the original files (modified or unmodified) as stand-alone products or in templates, marketplaces or asset libraries.
- Product descriptions, previews and compatibility notes are provided in good faith; it is your responsibility to confirm system requirements before purchase.
3. Agency services
- The scope, deliverables, timeline and price of each project are defined in the selected plan or written quote. Work outside that scope may be billed separately.
- Unless otherwise agreed, projects require a 50% deposit to start and the remaining balance before final file delivery or launch.
- You agree to supply content, feedback and approvals promptly. Delays on your side may extend the delivery timeline.
- Cancellations and refunds are governed by our Refund & Cancellation Policy.
- Delivery of digital products and project timelines are described in our Fulfillment Policy.
4. Intellectual property rights
All content on this website, including text, graphics, logos, designs, code and digital products, is the property of HA ECOM LLC or its licensors and is protected by U.S. and international copyright and trademark laws.
Ownership transfer for custom work: upon receipt of full payment for a custom service, all intellectual property rights in the final, approved deliverables (such as your logo, brand assets, custom designs and custom code) transfer to you. Until full payment is received, all rights remain with HA ECOM LLC. Third-party assets (fonts, stock imagery, plugins, apps or open-source code) remain subject to their own licenses. We reserve the right to display completed work in our portfolio unless you request confidentiality in writing.
5. User conduct
When using our website and services, you agree not to:
- Violate any applicable law or infringe the rights of others.
- Upload or transmit malicious code, or attempt to gain unauthorized access to our systems.
- Share download links, license keys or account access with unauthorized parties.
- Use our products or services for unlawful, fraudulent, hateful or deceptive purposes.
- Harass, abuse or threaten our team or other users.
We may suspend access or terminate services, without refund, for any breach of these rules.
6. Disclaimers & limitation of liability
Our website, products and services are provided "as is" and "as available". While we work hard to deliver high-converting results, we do not guarantee specific sales, revenue or performance outcomes. To the maximum extent permitted by law, HA ECOM LLC shall not be liable for any indirect, incidental or consequential damages, and our total liability for any claim shall not exceed the amount you paid for the product or service giving rise to the claim.
7. Governing law & disputes
These Terms are governed by the laws of the State of Colorado, USA, without regard to its conflict-of-law principles. Any dispute arising from these Terms or your use of our services shall be resolved exclusively in the state or federal courts located in Denver County, Colorado, and you consent to the personal jurisdiction of those courts.
8. Changes to these terms
We may update these Terms from time to time. Updated Terms take effect when posted on this page. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
